CONDITIONS OF REGULAR PARTICIPATION IN POLLINGS AND SURVEYS

Between:

The company 360 RESEARCH SCS whose registered officeis established 31 Rue du Lombard, B-1000 Brussels, registered under BE0897511504 

hereafter called: "360 Research", on the one hand 

And:

The individual answering the qualification form,i.e. the individual who registers himself on the 360 Research Site and fillsout the registration form, 

hereafter called: "the Member", on the other hand



1. FIRM ACCEPTANCE

By accessing and by using the www.360research.be, www.panel.brussels or affiliate sites, the Member (hereafter defined) states to have read and to have accepted the present conditions (hereafter called: the Conditions). The utilization of the site therefore implies the full acceptance of the Conditions. Only the Conditions are applicable, exclusive of any other condition. 

2. OBJECT OF THE PANELIST CHARTER

360 Research operates the site www.360research.be for the purpose of conducting surveys, polls and statistics. The usage of the site is governed by the Conditions. The purpose of the Conditions is to govern and to organize the partnership between 360 Research and the Member (here after defined) 

3. TERMS AND CONDITIONS TO ADHERE

3.1. Membership

3.1.1. What is a Member?
A member is any capable natural person, i.e. any capable individual, who accesses the present site and who answers validly and regularly the registration form. The access and the utilization of the site, including connection costs, are performed on the Member’s computer equipment and at his expense.   

3.1.2. Capability
Any member must be capable and declares expressly so being. He guarantees 360 Research against any recourse related with his capability. 

3.1.3. Minors
The minors, i.e. the individuals who are less than18 years, can become a Member only if they have the prior consent of their parents or legal guardians for this purpose. Any minor wishing to become a Member expressly states to have received the a forementioned authorization and guarantees 360 Research against any recourse. The aforementioned parents or legal guardians exert the rights on the information, the rights of opposition, access and/or correction of data concerning the minors. The Panel will question the Members who are minors exclusively on matters relating to the finality of the surveys and polls carried out. In any case, they will not be polled on matters prone to prohibitions with respect to minors (alcohol, etc). 

3.1.4. Legal Person
A legal person, i.e. a corporate body, cannot become a Member. 


3.2. Registration in order to become a Member. 

3.2.1. Registration form
To become a Member, it is necessary to fill out validly and regularly the Registration form and to follow the instructions given by 360 Research for this purpose. 

3.2.2. No individual, answering the conditions of article 3.1., is allowed to register himself and fill out the form more than one time. 

3.2.3. Any individual, answering the conditions of article 3.1., can use only his name and first name to order gifts and in no case can he make use of a false name, a pseudonym, the name and/or the firstname of any third party. 

3.2.4. A computer equipment as well as an e-mailaddress and mailbox is needed to access and use the site and to become a Member. If the e-mail address mentioned by the Member is a business address, the Member will use it in his relation with 360 Research under his sole responsibility. 

3.3. Password and Personal User Account 

3.3.1. Password 
In the registration form, the Member is requested tochoose a password of maximum 15 letters or figures. The choice of a password is necessary to take part in the surveys. The password is personal. The Member shall in no case communicate it to thirds. 

3.3.2. Personal User Account: 
As soon as a Member becomes registered, 360 Research will open a Personal User Account associated with this registration, in which are recorded the number of Points collected by the Member and/or the balance of the points. The consultation of the User Account requires the password. 

4. SURVEYS AND POLLS 

4.1. Communicating the polls and surveys:
360 Research will address the questionnaires relating to polls and/or surveys bye-mail, using the e-mail address transmitted by the Member. 

4.2. Answers from the Member:
the Member commits himself to answer the questionnaires, within the time limits indicated, completely, objectively and in all independence, spontaneously and honestly. The Member expressly agrees to provide to 360 Research all personal data required in the questionnaires and to update them as needed to keep them up todate at all times. 

4.3. Refusal to answer the questionnaires:
360 Research will be entitled to cease its relation with the Member without notice nor indemnity if the member refuses to answer questionnaires relating to polls and/or surveys more than three times. 

4.4. Inaccurate, out-of-date or incomplete answers:
360 Research will be entitled to cease its relation with the Member without notice or indemnity, if the Member answers in a way that is inaccurate, incomplete, out-of-date or late. 

5. ATTRIBUTION OF GIFT-POINTS AND CONVERSION OFGIFT-POINTS

5.1. Attribution of points:
the Member will receive gift-points when he answers the questionnaires in accordance with article 4 of the Conditions. The number of points allotted to each duly completed questionnaire depends on various factors such as the number of questions, the complexity of the questions, the presence of multi-media components to download and their volume, and the time needed to answer the questionnaire, etc. 360 Research makes the decision on the number of gift-points associated with each questionnaire for polls and surveys 

5.2. Personal User Account:
if the Member answers the questionnaires in accordance with article 4 of the Conditions, the gift-points which are allotted to him are added to his Personal User Account. 

5.3. Conversion of the gift-points:
the accumulated gift-points can be transformed at in the gifts-gallery when accessible on the Site. A number of gift-points are associated with each gift. Exchanging gift-points for a specific gift is possible only provided a sufficient number of gift-points are available in the Personal User Account. 

5.4. The Member’s choice for a gift is final; thegift will in no case be exchanged. 

5.5. The Personal User Account of the Member will be debited automatically by the number of gift-points corresponding to the gift chosen by the Member. 

5.6. If the gift chosen by the Member is not available anymore, 360 Research will re-credit the corresponding point-value to the Personal User Account. The Member will be invited to choose another gift. 

5.7. The chosen gift, when available, will be sent to the Member, in Belgium only, by standardized postal mail, using the address indicated by the Member in his Registration Form. 360 Research pays for shipping charges. However, 360 Research will invite the Member to take delivery of the gift in its office, if the gift cannot reasonably be shipped by postal services, due to its specificity or weight and/or its volume. 

5.8. 360 Research is not responsible for the routing by the post office in general and/or for the loss of any gift by the postal service in particular. 

6.CONFIDENTIALITY 

6.1. The Member commits himself to keep confidential all information of any nature, which will be communicated to him, within theframework of the partnership with 360 Research. Is considered confidential, the information gained from the Questionnaires of polls and surveys, focus group, interview or online community, as well as the methods used by 360 Research. The Member commits himself not to reveal, nor tocommunicate this Information to thirds in whatever manner. 

6.2. The Member recognizes and accepts that the Information is the property of 360 Research or, in some occurrences, of the customers of 360 Research. The Member commits himself not to make any use of the Information except to the extent necessary for the fulfillment of the present partnership and not to make any use of them at other ends. He commits himself in particular not to use Information for his own account, in whatevermanner. 

6.3. The Member commits himself not to copy or distribute the Information. 

6.4. The Member commits himself to respect the present confidentiality clause throughout the duration of the partnership and for one more year after this partnership has come to an end. 

7. DURATION OF THE PARTNERSHIP BETWEEN 360 RESEARCHAND THE MEMBER 

7.1. The partnership is established for anunspecified duration as from the day when the Member filled out theregistration form and in doing so, has accepted the Conditions of partnership. 

7.2. 360 Research and/or the Member have the right to put an end to the partnership without notice and without indemnity for the other party, either by sending an e-mail to the other party indicating explicitly and non ambiguously the decision to put an end to the partnership, or by the Member choosing to unsubscribe by clicking on the corresponding button in his personal zone. In these cases, the balance of the gift-points of the Member will be automatically cancelled. 

7.3. 360 Research has the right to put an end to the partnership unilaterally, without notice neither indemnity, by e-mail sent to the Member, in one of the following situations: 

7.3.1. The Member refused to answer at least to 3 consecutive questionnaires relating to polls and/or surveys, as indicated under article 4.3. of the Conditions. 

7.3.2. The Member provides answers to questionnaires relating to polls and/or surveys that are inaccurate, out-of-date, incomplete and/or aberrant or in contradiction with information communicated in the Registration Form. 

7.3.3. The Member uses several accounts or various identities. 

7.3.4. The Member does not respect his obligation of confidentiality. 

7.3.5. The Member has violated the Conditions. If the partnership ends for one of the reasons stipulated under article 7.3., the balance of the gift-points of the Member will be automatically cancelled and this without damage to the recourse that3 60 Research could oppose to the Member. 

7.4. In the case of bankruptcy, legal settlement or any other legal damage of liquidation, the partnership between 360 Research and the Member will automatically be ended, without notice neither indemnity. Not yet converted gift-points will not be convertible any more after the occurrence of a bankruptcy, legal settlement or another legal procedure and will thus be lost for the Member. 

8. INTELLECTUAL PROPERTY 

8.1. 360 Research is holder of the rights of th emark, the company name, the commercial name and the domain name "360Research" and "Panel.Brussels". The Member is not authorized to make use of it. 

8.2. 360 Research is holder of author rights on all the elements of the Internet Site (layout, etc.) and of the rights sui generis on the databases. The Member cannot reproduce and/or communicate to thirds the elements of the 360 Research Site, protected by the author rights, except application of the legal exceptions. The Member cannot extract and/or re-usethe contents of the databases of 360 Research, except application of the legal exceptions. 

8.3. No element of the Internet Site can be copied, reproduced, be distributed, published, be translated, permanently downloaded, or transmitted in any manner without prior clear authorization of 360 Research.The Member is not authorized to surf on the Internet Site and to temporarily download except for the sole purpose of consultation and utilization within theframework of the partnership with 360 Research. 

8.4. The marks and other distinctive signs, whichare eventually reproduced and used on the Internet Site, belong either to 360 Research or to thirds. The Member is not authorized to make use of them. 

8.5. The Member has access to third party sites through links appearing on 360 Research’s Internet Site, under his only responsibility and at his risks. 360 Research can in no case be held responsible for the damage which this connection could cause to the Member. 

9. DATA OF PERSONAL NATURE 

9.1. In accordance with the Law on the respect of private life and GDPR, each Member has the right to consult, to modify and/or to correct, via the 360 Research Site, the data of a personal nature stored in his personal zone, with the exception of all data concerning his Personal User Account. The Member does these consultations, modification and/or corrections by clicking the proper button on the Internet site of 360 Research. 

9.2. 360 Research is the Master of the file 

9.3. 360 Research will not divulgate any personal data’s to a third party except with the authorization of the Member and excepted to the suppliers and the partners of 360 Research in order to facilitate the shipment of the gifts.  

10. RESPONSIBILITY AND WARRANTY 

10.1 The Member is sole responsible for the use of his Membership, and for all resulting consequences. 

10.2 360 Research is in no case responsible for the damage the Member may suffer due to the modification and/or loss of computer equipment and/or the connection to Internet and/or e-mail addresses and mailboxes and/or passwords. 

10.3 360 Research can in no case be held responsible for technical problems (connection, e-mails sent, etc.) independent of its will. 

10.4 The site of 360research.be may contain links toother internet sites belonging to thirds. 360 Research has no control over these sites nor over their contents. In no case can 360 Research be held responsible for these contents or for other links appearing on internet sites of thirds. 360 Research points to existing links between its Site and those pertaining to thirds, for convenience only. 360 Research accepts no responsibility whatsoever for third party sites and their contents. 

10.5 360 Research runs its Internet Site out of its offices in Belgium (Rue du Lombard 31, 1000 Brussels) and the hosting partners. It is not allowed to access the 360 Research Site from any country where legal prescriptions would state that its contents and/or its use is illegal. Members use the Site in conformance with all applicable local laws. 

10.6 360 Research can in no case be held responsible for any damage caused directly or indirectly by the Internet site and its use. 

10.7 360 Research cannot guarantee that the Internet Site will be available and that it will be up to the expectations of the Member, that the access will not be interrupted, that there will be no delay, no breakdown, error or omission or loss of data transmitted by the Member, that no virus, Trojan horse, etc can be transmitted or that no damage can be caused to the computer equipment of the Member. 360 Research cannot be held responsible for the loss of gift-points due to a technical problem. 

10.8 360 Research is not responsible for the Member’s transmission of data, loss of data or interception of data by a third. 

10.9 All the obligations of 360 Research are obligations of means. 

11. FORCE MAJEURE 

11.1. 360 Research cannot be held responsible towards the Member, for the non-fulfillment of its obligations, which would bedue to a cause outside its control. The cause outside one’s control results from an unforeseeable event, independent of the 360 Research’s will. 

12. MODIFICATION OF THE CONDITIONS 

12.1. 360 Research reserves itself the right to modify the Conditions, at all times, without notification to the Members. The Members are therefore invited to consult regularly the aforementioned Conditions on the Site.   

13. AUTONOMY 

13.1. If one of the provisions of these Conditions were to be declared null or inapplicable, all other provisions of the Conditions will remain fully in force. 

14. INTERPRETATION OF THE CONDITIONS 

14.1. In case of interpretation of the Conditions, the English version of the Conditions will precede and be used as a basis for possible interpretations. 

15.APPLICABLE LAW AND COURT OF JURISDICTION

15.1. The partnership between 360 Research and the Member are subjected to the Belgian law. In the event of litigation, only the jurisdictions of Brussels will be exclusively qualified.
